Where the proforma sits in a deal

Quote → proforma → invoice. The quotation is your offer; the proforma formalizes it when the buyer says yes - it's what their finance team raises approval against, what you collect the 70% advance on, and what the bank or customs officer asks to see before an import moves.

What it is not: a demand for payment, a receivable in your books, or a tax invoice the buyer can claim input VAT on. Deliver the goods, then issue the real invoice - that's the document that creates the debt.

Proforma Invoice FAQ

What is a proforma invoice?

A preliminary invoice sent before goods or services are delivered - it states what will be supplied and at what price, so the buyer can confirm the order, arrange an advance payment, or open import paperwork. It looks like an invoice but is issued before the sale is final.

What's the difference between a proforma invoice and an invoice?

A proforma is a commitment to terms; an invoice is a demand for payment. The proforma creates no receivable in your books and no obligation to pay - it says 'this is what the deal will be'. Once you deliver, you issue the real invoice, which is the document that creates the debt.

When should I use a proforma instead of a quotation?

A quotation opens the conversation - prices you're offering. A proforma formalizes it once the buyer intends to proceed: it's the document buyers use to raise internal purchase approvals, pay advances, and satisfy banks and customs. Quote first, proforma when they say yes, invoice on delivery.

Why do banks and customs ask for proforma invoices?

Import documentation and letters of credit need the transaction's details before it happens - and a proforma is exactly that. In Nigeria, for example, a proforma invoice is part of opening Form M for imports; letters of credit worldwide are opened against proforma terms. Check your bank's exact requirements for format and content.

Is a proforma invoice legally binding? Can VAT be claimed on it?

It's not a demand for payment and generally can't be used to claim input tax - that's what the final tax invoice is for. It does, however, set the terms both sides are agreeing to, so treat the prices and validity date on it seriously.

How do I convert a proforma into a final invoice?

With this free tool, open the Invoice Generator and re-enter the details. In a free Growpins Ledger account the flow is the product: create the proforma, let the client review and consent through their portal link, and convert it to a sales invoice in one click - items, client, and tax settings carry over.

Retyping every proforma as an invoice later?

In a free Growpins Ledger account, the proforma-to-invoice flow is built in: the client reviews and consents through a portal link, and one click converts it to a sales invoice with everything carried over. Built by the team behind Growpins, founded by Dokun Bamigboye.
